These Terms & Conditions (“Terms”) govern your participation in the EssensaShop Affiliate Program (the “Program”) operated by Essensa Naturale, Inc. (“Essensa,” “we,” “us,” or “our”). By applying for, accessing, or participating in the Program, you (“Affiliate,” “you”) agree to be bound by these Terms and all related policies found in your dashboard. If you do not agree, do not apply or participate.
1. Definitions
- Affiliate Link – Your unique tracking link generated by the dashboard.
- Promo Code – Your unique code that customers can enter at checkout.
- Qualified Purchase – A customer order that satisfies all Program rules (e.g., tracking, attribution, payment captured, not refunded/charged back, not self-referred).
- Attribution Window – The period after a click within which a purchase is creditable (see dashboard).
- Commission Plan – The current commission tiers/rates, bonuses, and payout schedule in your dashboard.
2. Eligibility & Enrollment
You must be at least 18 years old and capable of entering binding agreements. The Program is intended for Affiliates primarily promoting to customers in the Philippines. Enrollment is subject to our review and approval. You must provide accurate legal and tax information and keep it updated.
3. Relationship of Parties
You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship.
4. Program Access & Tracking
- Use only Affiliate Links and Promo Codes from your dashboard.
- Essensa uses last-click attribution unless otherwise stated.
- Attribution window is 30 days (or as displayed in your dashboard).
- Tracking relies on cookies; cross-device tracking isn’t guaranteed.
- Reports are subject to review and reconciliation.
5. Qualified Purchases & Exclusions
- Orders must be valid, paid, and not refunded.
- No commissions for self-referrals, invalid links, prohibited activities, or unauthorized marketplace sales.
6. Commissions, Bonuses & Adjustments
Commission rates depend on products and tiers in your dashboard. Bonuses and contests may be offered occasionally. We reserve the right to adjust or reverse commissions for returns or violations.
7. Payouts & Methods
- Payouts occur weekly after the return/refund window closes.
- Minimum payout threshold: ₱2,000.00
- Supported: GCash, bank transfer, select e-wallets.
- Valid IDs or tax documents may be required before release.
8. Taxes
You are responsible for your own taxes arising from Program earnings. Essensa may withhold taxes as required by law.
9. Content, Claims & Disclosures
- Use truthful and compliant marketing; no exaggerated claims.
- Always disclose your affiliate relationship (e.g., “#ad”).
- Use only official creative assets; do not alter logos or marks.
- No misleading, obscene, or illegal content.
10. Prohibited Activities
- No bidding on Essensa trademarks in ads.
- No spam, bots, or deceptive clicks.
- No unauthorized marketplace sales or rebate schemes.
- No medical or therapeutic claims.
Violations may lead to immediate termination and forfeiture of unpaid commissions.
11. Data Privacy & Security
You must comply with the Data Privacy Act of 2012. Do not collect or share customer data beyond what’s necessary. Keep your account secure.
12. Intellectual Property
All Essensa trademarks and content remain our property. You’re granted a limited license to use approved assets only for promotional purposes.
13. Confidentiality
Non-public information (such as commission plans or internal policies) is confidential and must not be disclosed without prior consent.
14. Term, Suspension & Termination
These Terms apply from approval until terminated. Either party may terminate upon 7 days’ notice. Essensa may suspend or terminate immediately for fraud, violations, or brand harm.
15. Representations & Warranties
You represent that your content complies with law, that you own the materials used, and that you won’t infringe third-party rights. The Program is provided “as is.”
16. Indemnification
You agree to indemnify Essensa and its affiliates from any claims, losses, or liabilities arising from your breach of these Terms or unlawful conduct.
17. Limitation of Liability
Essensa’s total liability shall not exceed the commissions paid to you in the three months preceding the claim. No indirect or consequential damages are covered.
18. Compliance Reviews & Audit
We may conduct compliance checks and request proof of your promotional activities. Failure to cooperate may lead to suspension or termination.
19. Changes to the Program/Terms
Essensa may modify the Program or Terms at any time. Updates will be posted in the dashboard or emailed. Continued participation constitutes acceptance.
20. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines. Disputes will be resolved amicably or, failing that, in the courts of Quezon City.
21. Assignment
You may not assign or transfer your participation without our prior written consent. Essensa may assign these Terms to affiliates or successors.
22. Severability & Waiver
If any provision is invalid, the rest remain effective. Failure to enforce any right is not a waiver.
23. Entire Agreement
These Terms, plus all referenced policies and materials, constitute the full agreement between you and Essensa regarding the Program.
